Letter from the Founders

Dear Potential Food Connect Shed Limited Shareholders,

You’ve probably already heard the story. When Robert lost his family’s fourth generation farm twenty years ago, he went into exile. The grief and shame led him on a journey to explore positive ways forward for farming in Australia. As a dairy farmer he felt a huge disconnection between his milk and the people drinking it. That feeling triggered a passion for creating a fairer food system for all farmers and for exploring ways to help people connect to those who grew and processed their food.

He believed that this disconnection and the increasing impact of climate change meant a solution was urgently needed. Small farmers who grew nutritious food and looked after the land needed customers who were happy to pay for the true cost of production. Enter Food Connect Pty Ltd, a social enterprise that Robert, a few local farmers and a small group of motivated mums kick-started, using the principles of Community Supported Agriculture.

In 2007, Rob & Emma-Kate met. Emma-Kate fell in love with Robert and then Food Connect. While she was busy growing their baby, she sold her car sharing business and joined the team. In 2010, the staff voted her on as General Happiness Manager, and with the help of their team she put good systems in place, leased out the commercial kitchen and expanded into wholesale.

With the support of the community, Food Connect has created social and environmental impact for over thirteen years. 

While we are incredibly proud of what we’ve achieved, we think we need to move the needle even further. 

We believe the next step is establishing and funding a company to buy our warehouse to create Brisbane’s first local food hub - the Food Connect Shed.

Our landlord, Wayne, has given us a unique opportunity to purchase the warehouse, after renting part of the building for nearly 12 years. We’ve set up a new company, Food Connect Shed Limited, so locals, and anyone passionate about our plans, can invest through equity crowdfunding and own shares in the company, which will own the property should we reach our goal. We have always been driven by our community. It’s only natural that the warehouse be owned by our community too!

If we’re successful, we intend for the first $2 million raised to go towards buying the building, and any further funds up to $4 million to go towards retrofitting the warehouse. The new company intends to derive income from renting space to tenants, including our original company Food Connect Pty Ltd as the anchor tenant. A retrofitted building would aim to provide commercial food processing facilities, retail shopfronts, co-working space as well as an event space to hire. Our ultimate goal is that the surrounding community and visitors experience a place that connects them to urban food makers, local farmers, market gardeners and each other.

Our vision is to create a world where everyone has access to healthy, fresh, ecologically-grown food that is fair to growers, buyers, and the planet.  We want to transform the food system. We believe the next step towards this vision is to create a working hub for the regional food economy, owned by the community. 

For years, our community has been asking us how they can support our growth. They’ve seen the hard work our farmers, City Cousins, buyers clubs and loyal co-workers have put in. Equity crowdfunding is an obvious choice for us because it allows the people who are passionate about local food systems and believe in our capabilities to be an active part of the next chapter and next company - the Food Connect Shed.

Company Details

This offer of shares is made by Food Connect Shed Limited ACN 628 254 311 (the Company) an unlisted public company limited by shares. The Company was incorporated on 20 August 2018 as a public company limited by shares and has not to date traded.

Food Connect Shed Limited was set up for the sole purpose of equity crowdfunding to purchase the Food Connect Shed. This new company intends to own and manage the Shed, including the rental of the tenancies within it and has the potential to make improvement to its fit out subject to more than the Minimum Subscription being raised. If the Offer raises more than $2.5million, it is also planning to acquire and improve the fixtures, fittings and equipment currently within the building which are currently owned by Food Connect Pty Ltd.

There are two organisations which are currently run by the Founders of the Company at the Shed: Food Connect Pty Ltd and the Food Connect Foundation Limited. Food Connect Pty Ltd is the Founders’ existing proprietary company that uses a social enterprise model to source local produce and sells to local buyers (retail and wholesale). The Food Connect Foundation Ltd is a not-for-profit organisation that does advocacy work promoting local food systems. It also hosts education programmes and events in the Shed. We like to refer to the Foundation as the ‘head’ and Food Connect as the ‘hands.’

The Offer is for fully paid ordinary shares in Food Connect Shed Limited. This is not an offer for any shares in Food Connect Pty Ltd or any interests in the Food Connect Foundation Limited.

 

Director Details

Emma-Kate Rose - Chair, Non-Executive Director & Shareholder

Emma-Kate was running her own sustainable business in professional carsharing when her colleagues asked her to help organise a climate change conference. It was at this conference that she met former dairy farmer, Robert Pekin, who had just started Food Connect. After hearing about all the ways food could address social and environmental justice issues on a large scale, she was hooked and immediately volunteered to host a collection point at her home, what we call a Food Connect City Cousin.

Not only did she fall in love with Food Connect, but Food Connect fell in love with her. Well, the Founder did anyway. She soon sold her business and partnered with Rob in life and business to help out in any way she could, eventually becoming General Happiness Manager in 2010.

Emma-Kate originally started out as a criminologist, consulting globally with marginalised communities. It’s with this keen sense of social justice that she approaches all of her work, whether that be in the food system or the many other roles she has worked in. She’s found her home at the Food Connect Shed, and can’t wait to create a new company to own the warehouse where principles of inclusivity, justice and fairness permeate the walls.

Emma-Kate is the current Chair of the Queensland Social Enterprise Council.

 

Robert Pekin - Executive Director & Shareholder, Food Value Chain and Facilities Management 

In 2003, Robert Pekin landed in Brisbane, without a farm, broke and homeless but with years of experience in helping farmers set up their own farmer direct customer models. It was after a community talk he was giving to a bunch of farmers in Indooroopilly that an old bloke came up to him and said, “I can’t grow 30 different varieties of produce, but if you get 10 of us together, maybe we could make this work.” That’s when the penny dropped for him and he thought “why not?”

Robert is a former 4th generation organic dairy farmer and over the last 17 years has been innovating the concept of Community Supported Agriculture (CSA) in Australia.

In 2004 he founded Food Connect, a dynamic multi-farmer food distribution enterprise with an innovative community-based distribution system. In 2009, the Food Connect Foundation was launched to increase the scope of the fair food movement internationally and across Australia. 

It was while researching the growth of Food Hubs in the USA that Rob saw the potential of many ethical food enterprises supporting a resilient local food system under one roof. The vision is to create a company where community ownership in the building is central to a collaborative future. It’s an exciting place to come to, but it offers people different ways to participate in a healthy, resilient and regenerative food system that benefits all.

Rob is currently Director of the Food Connect Foundation Ltd, owner of Food Connect Pty Ltd, and Director of Open Food Network Ltd.

 

Jennifer Le Savéant (nee Burns) - Non Executive Director

Jennifer has brought with her a wealth of financial, marketing and non-profit board experience. She’s also been a member of the Food Connect Foundation Advisory Board for the past 12 months, a role she will relinquish to become an independent director of the new entity. 

She is a Certified Practicing Accountant who spent more than 10 years working in taxation and business services manager roles at PricewaterhouseCoopers and HMW Group (formerly HMW Partners), both based in Brisbane.  Jennifer has a Masters Degree in Professional Accounting, a Bachelor Degree in Marketing, and currently runs her own accounting practice. 

Jennifer is also a member of the Australian Institute of Company Directors, and a Director and Chair of YFS Limited, based in Logan and surrounds.

Community Engaged Design

If we raise more than the Minimum Subscription and therefore have funds to go towards retrofitting the Shed, we want to co-design the space with our current tenants, potential tenants, and the community. We’ve taken inspiration from the Nightingale co-design model.

We are offering a minimum of 2,000,000 fully paid ordinary shares and a maximum of 4,000,000 fully paid ordinary shares at $1 each in Food Connect Shed Limited, an Australian public unlisted company. 

The minimum share purchase per shareholder is 500 shares. The maximum share purchase for investors from the general public is 10,000 shares.  

Our Offer is conditional on reaching the minimum offer amount of $2,000,000. We reserve the right to decline an investment, including if we’re concerned an investor is not in Australia. The key terms and conditions of the Offer are set out below.

Foundation Share

The Company also has on issue one Foundation Share (which is fully paid to $1.00), which is presently held by Food Connect Foundation.  The holder of the Foundation Share (Foundation Shareholder) has certain rights different from those of ordinary shareholders, including in respect of voting on any proposed actions of the Company that would limit or derogate from the Social Mission (a Limiting Act), or would result in the disposal or acquisition by the Company of any asset or interest with a value of $500,000 or more (a Major Asset Decision).

The rights associated with the Foundation Share are set out in the Company’s constitution. 

 

Rights Attached to the Ordinary Shares

Immediately after issue, the shares will be fully-paid ordinary shares. There will be no further liability on the part of shareholders and the shares will rank equally with the ordinary shares currently on issue.

Intended Use of Funds

The exact purchase price of the property is $1,800,000 as set out in the Option Deed. 

The Offer costs include the Intermediary’s fees under the hosting agreement between the Company and the Intermediary. These fees are 6% of the raise (GST inclusive) which could be up to $240,000 if the offer is fully subscribed. 

Other than as specified below, no other payments from the funds raised are expected to be paid (directly or indirectly) to related parties, controlling shareholders, or any other persons involved in promoting or marketing the Offer. Subject to the Maximum Subscription being raised we are planning to buy the commercial kitchen and associated fixtures and fittings from Food Connect Pty Ltd.

Details of payments to be made to Directors are itemised below:

  • Emma-Kate Rose - Chair & Non Executive Director remuneration: $7,980 for six meetings per year
  • Robert Pekin - Executive Director remuneration: $3,990 for six meetings per year
  • Robert Pekin - Executive Salary: $52,000
  • Jennifer Le Savéant (nee Burns) - Non-executive Director remuneration: $3,990 for six meetings per year 

Details of potential payments to related parties if the Maximum Subscription is reached are itemised below:

  • Food Connect Pty Ltd - Fixtures, Fittings and Equipment currently housed at 8 Textile Crescent - $98,137 plus transfer duty.
  • Food Connect Foundation Limited - resources or intellectual property created by the Food Connect Foundation after the completion of this offer that the Food Connect Shed Limited purchases at a commercial value.

 

Risks Facing the Business

Competition

We keep a close eye on competitors. The Company operates in a niche area, with some competition from Wandering Cooks and alternative warehousing options and if these competitors increase their market share this may have a material impact on the Company. As we noted in our summary of the competitive landscape, a key attribute of the Company is our lean cost structure, multifunction uses and a focus on the long-term support of our community, which we expect to differentiate the Company from its competitors.

We believe continually focusing on our points of differentiation is key to educating the market, and creating long-term relationships with our tenants and the community.

Our tenants have their own competition, and an increase in market share by their competitors could result in a material adverse impact on the Company if our tenants are unable to pay rent. We aim to mitigate this risk by making the tenant our focus with our unique point of difference and reputation for customer service.

 

Economic downturn

The operating and financial performance of the Company is influenced by a variety of general economic and business conditions including the levels of consumer confidence and spending, business confidence and investment, employment, inflation, interest rates, access to debt and capital markets and regulatory policies. A prolonged deterioration in any number of the above factors may have a material adverse impact on the Company’s business and financial performance, or a material impact on our tenant’s businesses.

We think that our service to food entrepreneurs and the local community provides some risk insulation. The Founders’ experience in generating and maintaining brand loyalty built from over a decade of relationship-building with Food Connect Pty Ltd should create built-in resilience that can ensure our customer base remains loyal. We intend to apply the historical data and learnings of previous business cycles to improve reaction times to economic risk events of the future.

 

Adverse weather affecting our building: floods etc.

We believe the likelihood of floods affecting our warehouse are low. Food Connect experienced this in the 2011 floods and while Brisbane’s central markets were under water, the Food Connect Shed remained out of the flood zone and operational throughout, and additionally, managed to feed 3,000 members of the mud army by hosting a centre for volunteers to donate food and prepare meals.

Additionally, access to the main arterial road was not affected, which mitigates this risk to our tenants relying on consistent supply and deliveries. However, any damage to, or restriction of access to, the Food Connect Shed due to flooding by any means or other adverse weather conditions may have a material impact of the Company, and the Company cannot give any guarantee as to such an event not having an impact in the future.

 

Financing, cash flow and operating costs

We are currently undergoing fundraising activities to support the acquisition of the Shed and expanding business operations. Failure to secure the maximum amount of funding under this offer may result in the Company not being able to undertake all of its proposed plans (in particular the planned retrofit), and may result in the Company requiring additional capital in the future.

Further, the Company requires a minimum level of cash flow to operate. If adequate additional funding and cash flow is not available the Company’s business, financial performance and value may be materially and adversely affected. To assist in mitigating this risk we have financial reporting systems so we understand our cash position at all times. We also have historical figures based on the last six years of sub-letting the commercial kitchen by Food Connect, and we believe we can scale up staffing as required to support good cash flow management. Our Board contains a qualified Certified Practicing Accountant with experience in managing cash flow.

 

Limited share liquidity

Food Connect Shed Limited is an unlisted public company and therefore the Shares will have limited liquidity and shareholders may have difficulty identifying persons who may have an interest in acquiring or selling Shares. This should be seen as a long term investment.

In addition, as an unlisted public company, the only real basis upon which a value for our shares can be attributed would be by reference to our overall net asset position, as opposed to a stock market quoted price.

 

Property market/ construction industry

If the redevelopment project is not progressed in the timeframes anticipated by the Company or the costs of the redevelopment are greater than expected by the Company, there may be a material adverse impact on the Company.

We recognise the financial risk of disrupting existing leases with too much development all at once. For this reason we intend to design any future development of the site in stages, to minimise any impact on tenants to maintain cash flow and as much normal business activity as possible.

 

Development risks

Development of the Shed is subject to obtaining the relevant approvals from Brisbane City Council. Any delay or inability to obtain these, or the imposition of unfavourable conditions on development approvals obtained may adversely impact on the Company’s growth. That being said, to date there has been strong support from Brisbane City Council’s economic development and planning department, and local members.

Further, any escalation of development costs beyond those we anticipate and any project delays may have a material impact of the Company. While these risks could be mitigated to some extent, it is not possible to entirely remove the risks inherent in project development.

 

Contractual risks

The Company’s ability to efficiently conduct its operations and proposed plans in part depends upon third party product and service providers. If these third party providers are unable or unwilling to supply the Company or do not live up to their contractual obligations with the Company, and the Company is unable to secure alternative supplies on commercial terms, the Company may suffer material adverse effects.

 

Profitability

Future operating results depend to a large extent on management’s ability to successfully manage anticipated expansion and growth. It is possible that anticipated growth may not eventuate. Inability to control costs or a slowing in revenue could impact on the Company’s operations.

Further there is no guarantee that the Company is successful in the expansion of its business or the completion of its projects, which may have an adverse effect on the financial position and growth of the Company. Nor is there any guarantee that the Company continues to be profitable, dividends paid or shareholders to get a return on capital. Any number of factors may influence the Company’s success, many of which are out of its control.

Regular monitoring of financial reporting is expected to be implemented and maintained to reduce this risk.

 

Occupational health and safety risk

There is a risk that liability arising from occupational health and safety matters at the Food Connect Shed may be attributable to the Company as landlord. Any liabilities born by the Company in this regard may have a material adverse impact on the financial position of the Company. To mitigate this risk, organisational guidelines on health and safety are to be implemented and monitored at each Board meeting. We are also planning to hold insurance (as noted in the next risk).

 

Insurance risk

While the Company maintains insurance for risks it considers consistent with industry practices having regard to the terms of insurance, the Company may incur liabilities for which it is not insured or may not be able to obtain insurance for all such risks in the future. An inability to secure or maintain insurance may result in material adverse effects on the Company. Advice to be taken by the Board around insurance risks via a professional insurance provider.

 

Reliance on key personnel

The loss of key executives, including the Founders, who have the technical know-how and relationships would in all probability have an adverse effect on the Company’s ability to maintain its growth. We expect to document the roles of key personnel, and intend to ensure the team have back-up support for each role.

 

Reliance on key tenancies

Food Connect Shed’s key business rely on tenancies. Presently half of the Shed is vacant. If we fail to secure tenants for this half of the Shed this is expected to have an adverse impact on the Company. As noted in section 2.4.6 above we hold signed heads of agreement with each of the existing tenants confirming the indicative terms of the proposed tenancy arrangements. These heads of agreement are subject to the parties entering into formal lease agreements. If such formal lease agreements are not entered this will have an adverse effect on the rent that the Company receives until replacement tenants are obtained. Some of the leases will be subject to renewal. There is a risk that, once entered if some of these leases are terminated early or are not renewed and replacement tenants are not found, there may be a material adverse impact on the Company. We will also enter into some leases that will be for short terms as this meets the needs of our tenants. We intend to market our available spaces if our campaign is successful and provide a unique service offering to potential tenants to help mitigate this risk.

As of today, we have the PledgeMe funds to pay for the warehouse. Settlement is happening at 2.15pm tomorrow, and OzHarvest is getting ready to move in.

 

 

On the logistics front, shares have been issued and we’re updating ASIC now. Share certificates will be sent electronically. If you would like a hard copy please email us and we’ll send it to you via snail mail.

A huge THANK YOU to all of you for supporting us to get where we are today. We’ve had over 500 people come on board to support this vision of owning a Food Hub locally, and over $2million raised.

Wow. The last two weeks have been a blur! We have been hosting markets, building staircases, and signing up new tenants. Like James from the Good Beer Company

We’ve also had more interest than we can accomodate in the space - how great is that? Because the campaign took a little longer than first thought we’ve staged the move in to make it a bit easier for everyone and also, we want make sure our design process takes into account our community.

Also, PledgeMe have almost verified all of you! They tell us it’s been a bit of a mammoth undertaking here in Australia. Our campaign has just gone to the next level. We’ve had almost $600,000 pledged today, which takes us up to $1.75 million pledged by 474 of you. We are *almost* there. Almost 60% funded!

Thanks to some very amazing support over the last few days, we have just exceeded the $1 million mark. In fact, we are now at $1,182,127 which means we are almost 60% funded.

One constant in this campaign has been the amount of conversations we’ve had. Rob, Jennifer & I have hosted and attended events up and down the country. From them, we’ve met a wide range of people engaged in creating a fairer food movement. Many have pledged. 428 of you in fact. Thank you all so much for your support.

 

We have a few folk interested in pledging larger amounts, but haven’t gotten final approval yet - so we’re doing one final extension. Yes, take a deep breath. As agonising as this decision is, ASIC does allow us three full months to raise our money. So we’re going to take it because we know that those needing the extra time are very serious about investing.

 

Campaigning is hard work, emotionally intense and we are really starting to feel the effects of it in our bones (...and we miss our kids - they’ve been incredibly patient with us - especially our eldest who just completed his final year of high school without any help from us - go Joe!).

 

So we’re cutting right back on events and aiming to work less at night and the wee hours to return to a little bit of normality. The staff at Food Connect have also had to step up in a big way and we owe them our attention and care leading up to the busy Christmas period.

 

We’re still committed to communicating and activating our crowd, but with less 1:1 meetings & tours. Getting this campaign across the line, will need all of us to keep sharing our stories and supporters stories of why they pledged.

 

This campaign will close on 21 November at 9pm, unless we hit our maximum sooner. Thank you again. 428 people can’t be wrong about the need for a fairer food system, and we hope we’ll get this campaign across the $2mil mark as a community.

Up until now, we’ve been focussed on getting pledges for the Shed. Now, in this exciting campaign countdown, that continues, but we‘re also getting excited about imagining the future with you. We started wondering what the experience of coming together as inaugural Careholders would feel like. And…. we don’t want to wait.

We’re putting on an impromptu dinner this Thursday night. If you are a Queensland-based Careholder, you will have received an invitation. If you haven’t seen your invite yet, email Emma-Kate for more info. To our out-of-town Careholders, we love you too and wish you could join in, so we’ll be sending more info so you can provide input (and support) too.

Support has come from all around Australia. We are particularly chuffed that over 75% of our investors identify as women. We believe that property investment that is accessible to women will provide positive ripple effects throughout our community. With 7 days to go, there are still plenty of opportunities to get the story of the Shed in front of fresh eyes.  

With a whole 7 more days ahead and almost $830,000 pledged, we feel we’re on the cusp of seeing our vision for Australia’s first community-owned local food hub become reality. The more we interact with people, inviting them to check us out, the more hop on board.

Over the last week, we’ve had some amazing conversations both online and in person, about our goal and why a local food hub is needed, including:

We believe more than ever, that community-owned infrastructure is needed. Together, we are approaching our goal of owning the Shed communally! A future food system that values everyone paves the way for other communities to follow our lead. Can you participate, or share the Shed events coming up this weekend and next week?

Imagine if we doubled our numbers of Careholders. To do that, we need your help. Can you tell us:

  2. What do you want the Shed to achieve? 

Can you send us a phrase by email, a facebook post or message, or a quick video of your response? Your own words - around your decision to invest your money and back the Shed (and each other) - is more powerful than anything we could write. We have some volunteers helping us get these messages out over the next week, so don’t hold back.

Markets, move-in dates, almost at the $800k mark!

We’ve had a busy week - with markets, move in dates, and almost hitting the $800k mark! 

Preparing for OzHarvest to move in has been big for us - they’ve bumped up the start date from February to December so it’s all systems go in the office! 

We’ve also had a few other new tenants sign up, meaning 86% of the space has been taken with heads of agreements running from six months to 5 years. All up, that equates to $200,000 in revenue from our signed agreements in this financial year, with around $130,000 in expenses. That doesn’t include revenue from other potential sources (venue hire, retail, etc). 

We’ve also been busy at events - ranging from hosting farmer and author, Charlie Massy (who wrote a lovely tribute to us) to our second Market Day! The stall holders and locals came out in full force for a lovely afternoon of food, fun and connection. Food Connect’s market stall went off, which we believe is a great sign for future markets and the retail shopfront once we’ve renovated the Commerce Street frontage.

 

We’ve got a bunch more happening in and about the space over the next week - including a Facebook Live with Robert tonight at 7pm (jump on our Facebook page to watch) and an event this Friday which we’re co-hosting with Brisbane Fair Food Alliance. Join a panel of local food experts and Californian author and activist, Eric Holt-Giménez for a community’s guide to voting with their fork. You’re invited to come along in person, or watch on Facebook Live on our Food Connect Facebook page at 7.30pm this Friday.

We’ve been listening to you, our crowd, on what we can do to make this campaign fly! Two bits of feedback were: explain “what’s in it for me” more clearly, and give us some sweet sweet veggie discounts. So we have:

We’ve made this video on Facebook, to explain succinctly what’s in it for investors. Can you please comment on the video if you have pledged with what was in it for you, and share it with your crowd? If you haven’t pledged yet, give the video a watch and let us know what you think.

New perk for our careholders

When we buy the building with you all, we’ll be setting up a retail shop where customers can access the freshest produce from our local farmers and many additional lines of locally made, ethically-sourced products.

As a careholder in the Food Connect Shed, you’ll be eligible for a discount on everything in the retail shop. Here’s how it will work:

Pledges from $500 to $999 = 5% discount

Pledges from $1,000 to $4,999 = 7.5% discount

Pledges from $5,000 to $10,000 = 10% discount

This is in addition to discounts on venue hire for events and meetings. So now there’s even more reason to become an investor in our local food hub!

We’re hosting our second Food Connect Shed Market this Saturday (tomorrow!), and we’d love for you to come (and bring friends). Last week’s screening of Food Fighter was a fantastic look at the force behind OzHarvest, Ronni Kahn. Thanks to those who attended, it was great to catch up face to face with a few of our Pledgers. We’re really excited about having OzHarvest’s Brisbane team join us under the same roof from December. Food systems change will ramp up a notch, no doubt!

 

What’s on?

This Saturday we’re hosting another Food Connect Shed Market day - there’ll be makers, food, produce, drinks and Rob’s famous Shed Tours will be running on the hour. It kicks off at 3 pm and we’ll be there with a campaign table and lots of ways to contribute your ideas to the future of the Shed. Last week was a whirlwind getting our new tenants signed up and working with our landlord. This week, we’ve taken a bit of breather to plan out the next five weeks. Here are a few things coming up that we’d love to tell you about:

Want to come watch the OzHarvest story, Food Fighters, next Thursday 10 October at 7pm with us? They are our new tenants, and we are so excited to have them moving in with us. So, we bought 15 tickets to take you to “meet” them, and to thank you, our pledgers, for supporting us on our journey so far! They’ll be given out on a first come / first serve basis, so send me an email if you would like one. We’ll be meeting before the movie at 5:30pm at Tipplers Tap to have a drink before we watch it - and would love to see you there!

Look who’s coming to join us at the Shed! + Extending the Campaign

We’ve had a great week this week - an extra $100K has been pledged, and we have not one, but two cornerstone tenants who have signed long-term leases. You may already know about Ballistic Beer Co joining us with their Sour Fermented Beer operations, but on Wednesday, we celebrated another tenant signing up: OzHarvest Brisbane! OzHarvest is Australia’s leading food rescue organisation, collecting quality excess food from commercial outlets and delivering it directly to more than 1300 charities supporting people in need across the country. 

This means that from February 2019 the warehouse space will be 75% tenanted.

We believe this news will widen our crowd of support, and help grow a thriving local food hub with values aligned organisations. Additionally, we’ve signed up three new micro-businesses as kitchen tenants: a patissiere, a drinks company and an Indian meal service - so the kitchen will soon be pumping with activity. 

The equity crowdfunding legislation allows the campaign to run for a full three months, so after consulting some of our investors and getting sign off from our landlord, we’ve decided to extend the date a final time to Saturday, 10 November to allow as many of our community the time to pledge. The extra time also means we can activate a wider crowd, like Ballistic Beer Co and OzHarvest fans.

 

Here’s a list of our movements in the next two weeks:

  • 4-8 pm, Sunday 30 September, Shed Tours - come down for a beer/kombucha. This was going to be a countdown party, but now it’ll just be a pledge/share/space feedback party.

Some exciting announcements + Rob on the radio tonight

Since deciding to extend the campaign last Friday, there have been some very exciting developments.

 

But firstly, I wanted to share my ‘why’ for doing what I do, day in day out. It’s simple really. I have kids. I have two sons and one daughter and a step son who I care for and love deeply. Our daughter is the one holding the strawberries on the cover of the Offer Document. I want for them what every parent wants, a safe and healthy future where they can thrive.

 

I want to be the human that they look up to, that they can say when I’m long gone, "my mum did everything she could to protect future generations from climate change impacts on our local food system." It's for them, it's for their children, and the many generations to follow - IF they get that chance.

 

The campaign to buy the Shed represents everything I aspire to see, be and achieve in this world and in this short lifetime I've been given. We have four days until we hit our deadline at 8pm on Sunday. If you haven't yet pledged, I urge you to consider being part of an Australian first, and make a little bit of history with us. The national good food movement is watching us right now and willing us on.

It’s been a busy few days for us talking to interested investors and potential cornerstone tenants. The first bit of news is that local Salisbury craft brewery, Ballistic Beer Co have signed a 5 year agreement to lease 250sqm of the warehouse to install and operate their Sour Fermented Beer operation!

 

We are hoping to get one more agreement finalised today so we can announce another big name tenant, which will then take us to 88% capacity of the entire Shed.

 

We will be doing a Facebook Live tomorrow at 7pm, and we hope to have one of our cornerstone tenants on there to tell you why they’ve decided to join us (and invest in us too).

 

We're so excited about the opportunities this will create for our local community, our connections with local First Nations families, our relationships with outstanding, regenerative farmers and innovative food makers. Not to mention the fun events to come where we can make wonderful memories together. A fellow changemaker text us a few days back saying, "Just wanted to say I'm sending you both lots of love and support. Please know that no matter what happens tomorrow, SO much good has come out of your campaign and you've inspired so many people. Absolute legends - I feel so honoured just to know you. Xo".

We’re extending our deadline to 30 September 2018

We have until 30 September to confirm if we would like to buy the warehouse, and we’ve decided we need that extra nine days.

 

Why?

We have a few large investors that look likely to come across the line, but they’ve requested a bit more time. We also have a major tenant looking at taking up 450sqm in the empty part of the shed that we’re trying to confirm. This could improve our rental return in the near term, and was a question a few potential investors had.

 

We’ve checked with ASIC, and they’ve confirmed we are able to extend our deadline as long as we give notice to you and our campaign doesn’t run longer than three months. Here’s your notice :)

 

What does this mean

  • This means the campaign will now close on Sunday, 30 September at 8pm.

  • If we meet our goal of $2million by 30 September, you will need to pay for your investment. Once your identities have been verified, you will be provided payment details or your card will be charged. You will have ten working days to complete payment.

 

We’ll keep you updated on anything else, and would love to see you at the Ballistic Beer Co drinks tonight.

 

We’re so stoked you’ve brought us this far, and we’re hoping this vegetable-based revolution will succeed. Let us know if you have any thoughts on how we could activate our crowd even further.

Three days (and three quarters) to go!

Thank you so much for pledging to our campaign. We’re 25% funded from you wonderful people. Honestly can’t believe we’ve made it this far. Our community is bloody incredible 💚💚💚💚. My heart is so full of gratitude and I’m feeling so humbled by this month-long journey - I feel like we’ve succeeded on so many levels already! 

But, in order to make the funds we need to buy the warehouse we have to hit the $2mil mark. 

You’ve already pledged, which is really the highest form of support, but if you had time here are two more things you could do:

We’re having a PLEDGE-A-THON!

We have less than two weeks to reach our $2 million equity crowdfunding target to buy the warehouse with our community. We’ve hit the 12% mark, but we need to hit our minimum goal for the pledges to be processed.

 

So we thought it would be fun to run a PLEDGE-A-THON (like a modern day telethon) tonight at 7pm!

 

For $500 you can join this people-powered movement with over 100 members of our community who have already pledged to become co-owners of our local food hub. Let's take control of our local food system for our future generations. Together, we can show the world how a thriving and robust community can prioritise people and the planet and still aim to make a profit. We’re over 10% funded on our campaign now.  I just need to keep reminding myself that these things aren’t linear. They can jump forward in huge leaps and bounds in a matter of minutes. First Open Day, Media, and Hugs

Hi Pledgers (and followers),

 

Every time someone pledges to this campaign, we want to hug them. Your support means so much to us. Every pledge counts towards our fairer food revolution. And, to those that have chosen to support to the maximum amount, we salute you.

 

We had our first Open for Inspection last night and it was wonderful to connect with locals who wanted to check the space out first hand. We gave out copies of the Offer Document (over a shared a light beer) and encouraged visitors to write out why they think the Shed is a good idea.

 

We’re doing a Facebook Live on Monday night at 7pm if you have any questions. Just follow our page on Facebook, and prepare some questions for Emma-Kate and Robert.

 

It’s been hard fighting the coverage in Canberra to gain any media attention, but Bec Mac from 4ZZZ Radio had us on yesterday to talk about the campaign (start at 2:33:00), and we featured in the local newspaper, Southern Star on Thursday. The word is getting out!

 

We’re aiming to get to the 10% mark by early next week, so if you haven’t pledged yet, we’d love your show of support. It’s so important to get the momentum going early in the campaign.

    How big is the entire building?

    Probably a silly question, but if you don't hit the target minimum investment amount, does that mean no dice? Will pledge amounts only be taken if the minimum target amount is reached?

    If the minimum subscription or more is achieved, the Food Connect Foundation and RoseyPekin Trust will together hold shares nominally worth over $330,000. What will those organisations provide in return for that benefit?

    Hi Daniel, Thanks for your question. When we started the new company, we had to value the existing business in terms of how the hub has been operating historically under the non-profit, Food Connect Foundation. This existing realisable value has been transferred as shares in the new entity. The value is in the existing tenants that have been brought under the new entity, and the management experience, systems and relationships developed over the last six years. This also includes $132,000 of cash contributions from the the Food Connect Foundation, which will be used on asset / plant improvements. The Food Connect Foundation will also provide the research partnerships to measure the social, environmental and economic performance of the Food Connect Shed.
    The RoseyPekin Trust is the family trust our lawyers advised to set up to transfer the value of the knowledge and experience that myself and Robert Pekin have personally contributed and continue to contribute to the value of the business, as well as the goodwill that has been generated to date. I hope that answers your questions. Please get in touch if you'd like to come to the warehouse for a tour.

    Letter from the Founders

    Dear Potential Food Connect Shed Limited Shareholders,

    You’ve probably already heard the story. When Robert lost his family’s fourth generation farm twenty years ago, he went into exile. The grief and shame led him on a journey to explore positive ways forward for farming in Australia. As a dairy farmer he felt a huge disconnection between his milk and the people drinking it. That feeling triggered a passion for creating a fairer food system for all farmers and for exploring ways to help people connect to those who grew and processed their food.

    He believed that this disconnection and the increasing impact of climate change meant a solution was urgently needed. Small farmers who grew nutritious food and looked after the land needed customers who were happy to pay for the true cost of production. Enter Food Connect Pty Ltd, a social enterprise that Robert, a few local farmers and a small group of motivated mums kick-started, using the principles of Community Supported Agriculture.

    In 2007, Rob & Emma-Kate met. Emma-Kate fell in love with Robert and then Food Connect. While she was busy growing their baby, she sold her car sharing business and joined the team. In 2010, the staff voted her on as General Happiness Manager, and with the help of their team she put good systems in place, leased out the commercial kitchen and expanded into wholesale.

    With the support of the community, Food Connect has created social and environmental impact for over thirteen years. 

    While we are incredibly proud of what we’ve achieved, we think we need to move the needle even further. 

    We believe the next step is establishing and funding a company to buy our warehouse to create Brisbane’s first local food hub - the Food Connect Shed.

    Our landlord, Wayne, has given us a unique opportunity to purchase the warehouse, after renting part of the building for nearly 12 years. We’ve set up a new company, Food Connect Shed Limited, so locals, and anyone passionate about our plans, can invest through equity crowdfunding and own shares in the company, which will own the property should we reach our goal. We have always been driven by our community. It’s only natural that the warehouse be owned by our community too!

    If we’re successful, we intend for the first $2 million raised to go towards buying the building, and any further funds up to $4 million to go towards retrofitting the warehouse. The new company intends to derive income from renting space to tenants, including our original company Food Connect Pty Ltd as the anchor tenant. A retrofitted building would aim to provide commercial food processing facilities, retail shopfronts, co-working space as well as an event space to hire. Our ultimate goal is that the surrounding community and visitors experience a place that connects them to urban food makers, local farmers, market gardeners and each other.

    Our vision is to create a world where everyone has access to healthy, fresh, ecologically-grown food that is fair to growers, buyers, and the planet.  We want to transform the food system. We believe the next step towards this vision is to create a working hub for the regional food economy, owned by the community. 

    For years, our community has been asking us how they can support our growth. They’ve seen the hard work our farmers, City Cousins, buyers clubs and loyal co-workers have put in. Equity crowdfunding is an obvious choice for us because it allows the people who are passionate about local food systems and believe in our capabilities to be an active part of the next chapter and next company - the Food Connect Shed.

    Company Details

    This offer of shares is made by Food Connect Shed Limited ACN 628 254 311 (the Company) an unlisted public company limited by shares. The Company was incorporated on 20 August 2018 as a public company limited by shares and has not to date traded.

    Food Connect Shed Limited was set up for the sole purpose of equity crowdfunding to purchase the Food Connect Shed. This new company intends to own and manage the Shed, including the rental of the tenancies within it and has the potential to make improvement to its fit out subject to more than the Minimum Subscription being raised. If the Offer raises more than $2.5million, it is also planning to acquire and improve the fixtures, fittings and equipment currently within the building which are currently owned by Food Connect Pty Ltd.

    There are two organisations which are currently run by the Founders of the Company at the Shed: Food Connect Pty Ltd and the Food Connect Foundation Limited. Food Connect Pty Ltd is the Founders’ existing proprietary company that uses a social enterprise model to source local produce and sells to local buyers (retail and wholesale). The Food Connect Foundation Ltd is a not-for-profit organisation that does advocacy work promoting local food systems. It also hosts education programmes and events in the Shed. We like to refer to the Foundation as the ‘head’ and Food Connect as the ‘hands.’

    The Offer is for fully paid ordinary shares in Food Connect Shed Limited. This is not an offer for any shares in Food Connect Pty Ltd or any interests in the Food Connect Foundation Limited.

     

    Director Details

    Emma-Kate Rose - Chair, Non-Executive Director & Shareholder

    Emma-Kate was running her own sustainable business in professional carsharing when her colleagues asked her to help organise a climate change conference. It was at this conference that she met former dairy farmer, Robert Pekin, who had just started Food Connect. After hearing about all the ways food could address social and environmental justice issues on a large scale, she was hooked and immediately volunteered to host a collection point at her home, what we call a Food Connect City Cousin.

    Not only did she fall in love with Food Connect, but Food Connect fell in love with her. Well, the Founder did anyway. She soon sold her business and partnered with Rob in life and business to help out in any way she could, eventually becoming General Happiness Manager in 2010.

    Emma-Kate originally started out as a criminologist, consulting globally with marginalised communities. It’s with this keen sense of social justice that she approaches all of her work, whether that be in the food system or the many other roles she has worked in. She’s found her home at the Food Connect Shed, and can’t wait to create a new company to own the warehouse where principles of inclusivity, justice and fairness permeate the walls.

    Emma-Kate is the current Chair of the Queensland Social Enterprise Council.

     

    Robert Pekin - Executive Director & Shareholder, Food Value Chain and Facilities Management 

    In 2003, Robert Pekin landed in Brisbane, without a farm, broke and homeless but with years of experience in helping farmers set up their own farmer direct customer models. It was after a community talk he was giving to a bunch of farmers in Indooroopilly that an old bloke came up to him and said, “I can’t grow 30 different varieties of produce, but if you get 10 of us together, maybe we could make this work.” That’s when the penny dropped for him and he thought “why not?”

    Robert is a former 4th generation organic dairy farmer and over the last 17 years has been innovating the concept of Community Supported Agriculture (CSA) in Australia.

    In 2004 he founded Food Connect, a dynamic multi-farmer food distribution enterprise with an innovative community-based distribution system. In 2009, the Food Connect Foundation was launched to increase the scope of the fair food movement internationally and across Australia. 

    It was while researching the growth of Food Hubs in the USA that Rob saw the potential of many ethical food enterprises supporting a resilient local food system under one roof. The vision is to create a company where community ownership in the building is central to a collaborative future. It’s an exciting place to come to, but it offers people different ways to participate in a healthy, resilient and regenerative food system that benefits all.

    Rob is currently Director of the Food Connect Foundation Ltd, owner of Food Connect Pty Ltd, and Director of Open Food Network Ltd.

     

    Jennifer Le Savéant (nee Burns) - Non Executive Director

    Jennifer has brought with her a wealth of financial, marketing and non-profit board experience. She’s also been a member of the Food Connect Foundation Advisory Board for the past 12 months, a role she will relinquish to become an independent director of the new entity. 

    She is a Certified Practicing Accountant who spent more than 10 years working in taxation and business services manager roles at PricewaterhouseCoopers and HMW Group (formerly HMW Partners), both based in Brisbane.  Jennifer has a Masters Degree in Professional Accounting, a Bachelor Degree in Marketing, and currently runs her own accounting practice. 

    Jennifer is also a member of the Australian Institute of Company Directors, and a Director and Chair of YFS Limited, based in Logan and surrounds.

    Community Engaged Design

    If we raise more than the Minimum Subscription and therefore have funds to go towards retrofitting the Shed, we want to co-design the space with our current tenants, potential tenants, and the community. We’ve taken inspiration from the Nightingale co-design model.

    We are offering a minimum of 2,000,000 fully paid ordinary shares and a maximum of 4,000,000 fully paid ordinary shares at $1 each in Food Connect Shed Limited, an Australian public unlisted company. 

    The minimum share purchase per shareholder is 500 shares. The maximum share purchase for investors from the general public is 10,000 shares.  

    Our Offer is conditional on reaching the minimum offer amount of $2,000,000. We reserve the right to decline an investment, including if we’re concerned an investor is not in Australia. The key terms and conditions of the Offer are set out below.

    Foundation Share

    The Company also has on issue one Foundation Share (which is fully paid to $1.00), which is presently held by Food Connect Foundation.  The holder of the Foundation Share (Foundation Shareholder) has certain rights different from those of ordinary shareholders, including in respect of voting on any proposed actions of the Company that would limit or derogate from the Social Mission (a Limiting Act), or would result in the disposal or acquisition by the Company of any asset or interest with a value of $500,000 or more (a Major Asset Decision).

    The rights associated with the Foundation Share are set out in the Company’s constitution. 

     

    Rights Attached to the Ordinary Shares

    Immediately after issue, the shares will be fully-paid ordinary shares. There will be no further liability on the part of shareholders and the shares will rank equally with the ordinary shares currently on issue.

    The table below sets out the intended use of funds raised under this Offer based on the minimum and maximum subscription amounts.

    The exact purchase price of the property is $1,800,000 as set out in the Option Deed. 

    The Offer costs include the Intermediary’s fees under the hosting agreement between the Company and the Intermediary. These fees are 6% of the raise (GST inclusive) which could be up to $240,000 if the offer is fully subscribed. 

    Other than as specified below, no other payments from the funds raised are expected to be paid (directly or indirectly) to related parties, controlling shareholders, or any other persons involved in promoting or marketing the Offer. Subject to the Maximum Subscription being raised we are planning to buy the commercial kitchen and associated fixtures and fittings from Food Connect Pty Ltd.

    Details of payments to be made to Directors are itemised below:

    • Emma-Kate Rose - Chair & Non Executive Director remuneration: $7,980 for six meetings per year
    • Robert Pekin - Executive Director remuneration: $3,990 for six meetings per year
    • Robert Pekin - Executive Salary: $52,000
    • Jennifer Le Savéant (nee Burns) - Non-executive Director remuneration: $3,990 for six meetings per year 

    Details of potential payments to related parties if the Maximum Subscription is reached are itemised below:

    • Food Connect Pty Ltd - Fixtures, Fittings and Equipment currently housed at 8 Textile Crescent - $98,137 plus transfer duty.
    • Food Connect Foundation Limited - resources or intellectual property created by the Food Connect Foundation after the completion of this offer that the Food Connect Shed Limited purchases at a commercial value.

     

    Risks Facing the Business

    Competition

    We keep a close eye on competitors. The Company operates in a niche area, with some competition from Wandering Cooks and alternative warehousing options and if these competitors increase their market share this may have a material impact on the Company. As we noted in our summary of the competitive landscape, a key attribute of the Company is our lean cost structure, multifunction uses and a focus on the long-term support of our community, which we expect to differentiate the Company from its competitors.

    We believe continually focusing on our points of differentiation is key to educating the market, and creating long-term relationships with our tenants and the community.

    Our tenants have their own competition, and an increase in market share by their competitors could result in a material adverse impact on the Company if our tenants are unable to pay rent. We aim to mitigate this risk by making the tenant our focus with our unique point of difference and reputation for customer service.

     

    Economic downturn

    The operating and financial performance of the Company is influenced by a variety of general economic and business conditions including the levels of consumer confidence and spending, business confidence and investment, employment, inflation, interest rates, access to debt and capital markets and regulatory policies. A prolonged deterioration in any number of the above factors may have a material adverse impact on the Company’s business and financial performance, or a material impact on our tenant’s businesses.

    We think that our service to food entrepreneurs and the local community provides some risk insulation. The Founders’ experience in generating and maintaining brand loyalty built from over a decade of relationship-building with Food Connect Pty Ltd should create built-in resilience that can ensure our customer base remains loyal. We intend to apply the historical data and learnings of previous business cycles to improve reaction times to economic risk events of the future.

     

    Adverse weather affecting our building: floods etc.

    We believe the likelihood of floods affecting our warehouse are low. Food Connect experienced this in the 2011 floods and while Brisbane’s central markets were under water, the Food Connect Shed remained out of the flood zone and operational throughout, and additionally, managed to feed 3,000 members of the mud army by hosting a centre for volunteers to donate food and prepare meals.

    Additionally, access to the main arterial road was not affected, which mitigates this risk to our tenants relying on consistent supply and deliveries. However, any damage to, or restriction of access to, the Food Connect Shed due to flooding by any means or other adverse weather conditions may have a material impact of the Company, and the Company cannot give any guarantee as to such an event not having an impact in the future.

     

    Financing, cash flow and operating costs

    We are currently undergoing fundraising activities to support the acquisition of the Shed and expanding business operations. Failure to secure the maximum amount of funding under this offer may result in the Company not being able to undertake all of its proposed plans (in particular the planned retrofit), and may result in the Company requiring additional capital in the future.

    Further, the Company requires a minimum level of cash flow to operate. If adequate additional funding and cash flow is not available the Company’s business, financial performance and value may be materially and adversely affected. To assist in mitigating this risk we have financial reporting systems so we understand our cash position at all times. We also have historical figures based on the last six years of sub-letting the commercial kitchen by Food Connect, and we believe we can scale up staffing as required to support good cash flow management. Our Board contains a qualified Certified Practicing Accountant with experience in managing cash flow.

     

    Limited share liquidity

    Food Connect Shed Limited is an unlisted public company and therefore the Shares will have limited liquidity and shareholders may have difficulty identifying persons who may have an interest in acquiring or selling Shares. This should be seen as a long term investment.

    In addition, as an unlisted public company, the only real basis upon which a value for our shares can be attributed would be by reference to our overall net asset position, as opposed to a stock market quoted price.

     

    Property market/ construction industry

    If the redevelopment project is not progressed in the timeframes anticipated by the Company or the costs of the redevelopment are greater than expected by the Company, there may be a material adverse impact on the Company.

    We recognise the financial risk of disrupting existing leases with too much development all at once. For this reason we intend to design any future development of the site in stages, to minimise any impact on tenants to maintain cash flow and as much normal business activity as possible.

     

    Development risks

    Development of the Shed is subject to obtaining the relevant approvals from Brisbane City Council. Any delay or inability to obtain these, or the imposition of unfavourable conditions on development approvals obtained may adversely impact on the Company’s growth. That being said, to date there has been strong support from Brisbane City Council’s economic development and planning department, and local members.

    Further, any escalation of development costs beyond those we anticipate and any project delays may have a material impact of the Company. While these risks could be mitigated to some extent, it is not possible to entirely remove the risks inherent in project development.

     

    Contractual risks

    The Company’s ability to efficiently conduct its operations and proposed plans in part depends upon third party product and service providers. If these third party providers are unable or unwilling to supply the Company or do not live up to their contractual obligations with the Company, and the Company is unable to secure alternative supplies on commercial terms, the Company may suffer material adverse effects.

     

    Profitability

    Future operating results depend to a large extent on management’s ability to successfully manage anticipated expansion and growth. It is possible that anticipated growth may not eventuate. Inability to control costs or a slowing in revenue could impact on the Company’s operations.

    Further there is no guarantee that the Company is successful in the expansion of its business or the completion of its projects, which may have an adverse effect on the financial position and growth of the Company. Nor is there any guarantee that the Company continues to be profitable, dividends paid or shareholders to get a return on capital. Any number of factors may influence the Company’s success, many of which are out of its control.

    Regular monitoring of financial reporting is expected to be implemented and maintained to reduce this risk.

     

    Occupational health and safety risk

    There is a risk that liability arising from occupational health and safety matters at the Food Connect Shed may be attributable to the Company as landlord. Any liabilities born by the Company in this regard may have a material adverse impact on the financial position of the Company. To mitigate this risk, organisational guidelines on health and safety are to be implemented and monitored at each Board meeting. We are also planning to hold insurance (as noted in the next risk).

     

    Insurance risk

    While the Company maintains insurance for risks it considers consistent with industry practices having regard to the terms of insurance, the Company may incur liabilities for which it is not insured or may not be able to obtain insurance for all such risks in the future. An inability to secure or maintain insurance may result in material adverse effects on the Company. Advice to be taken by the Board around insurance risks via a professional insurance provider.

     

    Reliance on key personnel

    The loss of key executives, including the Founders, who have the technical know-how and relationships would in all probability have an adverse effect on the Company’s ability to maintain its growth. We expect to document the roles of key personnel, and intend to ensure the team have back-up support for each role.

     

    Reliance on key tenancies

    Food Connect Shed’s key business rely on tenancies. Presently half of the Shed is vacant. If we fail to secure tenants for this half of the Shed this is expected to have an adverse impact on the Company. As noted in section 2.4.6 above we hold signed heads of agreement with each of the existing tenants confirming the indicative terms of the proposed tenancy arrangements. These heads of agreement are subject to the parties entering into formal lease agreements. If such formal lease agreements are not entered this will have an adverse effect on the rent that the Company receives until replacement tenants are obtained. Some of the leases will be subject to renewal. There is a risk that, once entered if some of these leases are terminated early or are not renewed and replacement tenants are not found, there may be a material adverse impact on the Company. We will also enter into some leases that will be for short terms as this meets the needs of our tenants. We intend to market our available spaces if our campaign is successful and provide a unique service offering to potential tenants to help mitigate this risk.

    As of today, we have the PledgeMe funds to pay for the warehouse. Settlement is happening at 2.15pm tomorrow, and OzHarvest is getting ready to move in.

    A huge THANK YOU to all of you for supporting us to get where we are today. We’ve had over 500 people come on board to support this vision of owning a Food Hub locally, and over $2million raised.

    The Settlement for the building is set for 7 January 2019. We want to say a huge thanks to our landlord Wayne for his support over the years, and his ongoing support to make this happen.

    Wow. The last two weeks have been a blur! We have been hosting markets, building staircases, and signing up new tenants. Like James from the Good Beer Company

    We’ve also had more interest than we can accomodate in the space - how great is that? Because the campaign took a little longer than first thought we’ve staged the move in to make it a bit easier for everyone and also, we want make sure our design process takes into account our community.

    Also, PledgeMe have almost verified all of you! They tell us it’s been a bit of a mammoth undertaking here in Australia. There are still a handful of folk that they need to get ahold of though, so if you’ve got a text message from Anna, or an email in your inbox asking for more information, can you please get back to them tonight?

    Thanks to some very amazing support over the last few days, we have just exceeded the $1 million mark. In fact, we are now at $1,182,127 which means we are almost 60% funded.

    One constant in this campaign has been the amount of conversations we’ve had. Rob, Jennifer & I have hosted and attended events up and down the country. From them, we’ve met a wide range of people engaged in creating a fairer food movement. Many have pledged. 428 of you in fact. Thank you all so much for your support.

     

    We have a few folk interested in pledging larger amounts, but haven’t gotten final approval yet - so we’re doing one final extension. Yes, take a deep breath. As agonising as this decision is, ASIC does allow us three full months to raise our money. So we’re going to take it because we know that those needing the extra time are very serious about investing.

     

    Campaigning is hard work, emotionally intense and we are really starting to feel the effects of it in our bones (...and we miss our kids - they’ve been incredibly patient with us - especially our eldest who just completed his final year of high school without any help from us - go Joe!).

     

    So we’re cutting right back on events and aiming to work less at night and the wee hours to return to a little bit of normality. The staff at Food Connect have also had to step up in a big way and we owe them our attention and care leading up to the busy Christmas period.

     

    We’re still committed to communicating and activating our crowd, but with less 1:1 meetings & tours. Getting this campaign across the line, will need all of us to keep sharing our stories and supporters stories of why they pledged.

    Up until now, we’ve been focussed on getting pledges for the Shed. Now, in this exciting campaign countdown, that continues, but we‘re also getting excited about imagining the future with you. We started wondering what the experience of coming together as inaugural Careholders would feel like. And…. we don’t want to wait.

    We’re putting on an impromptu dinner this Thursday night. If you are a Queensland-based Careholder, you will have received an invitation. If you haven’t seen your invite yet, email Emma-Kate for more info. To our out-of-town Careholders, we love you too and wish you could join in, so we’ll be sending more info so you can provide input (and support) too.

    Support has come from all around Australia. We are particularly chuffed that over 75% of our investors identify as women. We believe that property investment that is accessible to women will provide positive ripple effects throughout our community. With 7 days to go, there are still plenty of opportunities to get the story of the Shed in front of fresh eyes.  

    With a whole 7 more days ahead and almost $830,000 pledged, we feel we’re on the cusp of seeing our vision for Australia’s first community-owned local food hub become reality. The more we interact with people, inviting them to check us out, the more hop on board.

    Preparing for OzHarvest to move in has been big for us - they’ve bumped up the start date from February to December so it’s all systems go in the office! 

    We’ve also had a few other new tenants sign up, meaning 86% of the space has been taken with heads of agreements running from six months to 5 years. All up, that equates to $200,000 in revenue from our signed agreements in this financial year, with around $130,000 in expenses. That doesn’t include revenue from other potential sources (venue hire, retail, etc). 

    We’ve also been busy at events - ranging from hosting farmer and author, Charlie Massy (who wrote a lovely tribute to us) to our second Market Day! The stall holders and locals came out in full force for a lovely afternoon of food, fun and connection. Food Connect’s market stall went off, which we believe is a great sign for future markets and the retail shopfront once we’ve renovated the Commerce Street frontage.

     

    We’ve got a bunch more happening in and about the space over the next week - including a Facebook Live with Robert tonight at 7pm (jump on our Facebook page to watch) and an event this Friday which we’re co-hosting with Brisbane Fair Food Alliance. Join a panel of local food experts and Californian author and activist, Eric Holt-Giménez for a community’s guide to voting with their fork. You’re invited to come along in person, or watch on Facebook Live on our Food Connect Facebook page at 7.30pm this Friday.

    We’ve been listening to you, our crowd, on what we can do to make this campaign fly! Two bits of feedback were: explain “what’s in it for me” more clearly, and give us some sweet sweet veggie discounts. So we have:

    New perk for our careholders

    When we buy the building with you all, we’ll be setting up a retail shop where customers can access the freshest produce from our local farmers and many additional lines of locally made, ethically-sourced products.

    As a careholder in the Food Connect Shed, you’ll be eligible for a discount on everything in the retail shop. Here’s how it will work:

    Pledges from $500 to $999 = 5% discount

    Pledges from $1,000 to $4,999 = 7.5% discount

    Pledges from $5,000 to $10,000 = 10% discount

    This is in addition to discounts on venue hire for events and meetings. So now there’s even more reason to become an investor in our local food hub!

    We’re hosting our second Food Connect Shed Market this Saturday (tomorrow!), and we’d love for you to come (and bring friends). We will have a space for our careholders to help us co-design what we should do with the Shed and Rob will be leading tours of the space on the hour. We’ll also have lovely local makers, vintage clothing, Ballistic Beer, Buchi Kombucha, Food Connect produce stall, and many food and drink stalls.

    Announcement tomorrow, Markets this Saturday, and more!

    Last week’s screening of Food Fighter was a fantastic look at the force behind OzHarvest, Ronni Kahn. Thanks to those who attended, it was great to catch up face to face with a few of our Pledgers. We’re really excited about having OzHarvest’s Brisbane team join us under the same roof from December. Food systems change will ramp up a notch, no doubt!

     

    What’s on?

    This Saturday we’re hosting another Food Connect Shed Market day - there’ll be makers, food, produce, drinks and Rob’s famous Shed Tours will be running on the hour. It kicks off at 3 pm and we’ll be there with a campaign table and lots of ways to contribute your ideas to the future of the Shed.     Last week was a whirlwind getting our new tenants signed up and working with our landlord. This week, we’ve taken a bit of breather to plan out the next five weeks. Here are a few things coming up that we’d love to tell you about:

    We had some technical difficulties last night, but we’ve reset my phone and I want to provide a bit more of an update on where we’re at. Log in to Facebook at 7pm to watch me live.

     

    Come “meet” our new tenants

    Want to come watch the OzHarvest story, Food Fighters, next Thursday 10 October at 7pm with us? They are our new tenants, and we are so excited to have them moving in with us. So, we bought 15 tickets to take you to “meet” them, and to thank you, our pledgers, for supporting us on our journey so far! They’ll be given out on a first come / first serve basis, so send me an email if you would like one. We’ll be meeting before the movie at 5:30pm at Tipplers Tap to have a drink before we watch it - and would love to see you there!

    Look who’s coming to join us at the Shed! + Extending the Campaign

    We’ve had a great week this week - an extra $100K has been pledged, and we have not one, but two cornerstone tenants who have signed long-term leases. You may already know about Ballistic Beer Co joining us with their Sour Fermented Beer operations, but on Wednesday, we celebrated another tenant signing up: OzHarvest Brisbane! OzHarvest is Australia’s leading food rescue organisation, collecting quality excess food from commercial outlets and delivering it directly to more than 1300 charities supporting people in need across the country. 

    This means that from February 2019 the warehouse space will be 75% tenanted.

    We believe this news will widen our crowd of support, and help grow a thriving local food hub with values aligned organisations. Additionally, we’ve signed up three new micro-businesses as kitchen tenants: a patissiere, a drinks company and an Indian meal service - so the kitchen will soon be pumping with activity. 

    The equity crowdfunding legislation allows the campaign to run for a full three months, so after consulting some of our investors and getting sign off from our landlord, we’ve decided to extend the date a final time to Saturday, 10 November to allow as many of our community the time to pledge. The extra time also means we can activate a wider crowd, like Ballistic Beer Co and OzHarvest fans.

     

    Here’s a list of our movements in the next two weeks:

    • 4-8 pm, Sunday 30 September, Shed Tours - come down for a beer/kombucha. This was going to be a countdown party, but now it’ll just be a pledge/share/space feedback party.

    We are planning more Shed Markets in the coming weeks and more opportunities to connect with you. We really want this to be a food system where people can actively participate in the decision making.     Some exciting announcements + Rob on the radio tonight

    Since deciding to extend the campaign last Friday, there have been some very exciting developments.

     

    But firstly, I wanted to share my ‘why’ for doing what I do, day in day out. It’s simple really. I have kids. I have two sons and one daughter and a step son who I care for and love deeply. Our daughter is the one holding the strawberries on the cover of the Offer Document. I want for them what every parent wants, a safe and healthy future where they can thrive.

     

    I want to be the human that they look up to, that they can say when I’m long gone, "my mum did everything she could to protect future generations from climate change impacts on our local food system." It's for them, it's for their children, and the many generations to follow - IF they get that chance.

     

    The campaign to buy the Shed represents everything I aspire to see, be and achieve in this world and in this short lifetime I've been given. We have four days until we hit our deadline at 8pm on Sunday. If you haven't yet pledged, I urge you to consider being part of an Australian first, and make a little bit of history with us. The national good food movement is watching us right now and willing us on.

     

    To find out more, listen to Rob on ABC Brisbane Local Radio this evening sometime between 5.30pm-6pm with Steve Austin, where he’ll be talking food system issues and announcing our good news.

     

    It’s been a busy few days for us talking to interested investors and potential cornerstone tenants. The first bit of news is that local Salisbury craft brewery, Ballistic Beer Co have signed a 5 year agreement to lease 250sqm of the warehouse to install and operate their Sour Fermented Beer operation!

     

    We are hoping to get one more agreement finalised today so we can announce another big name tenant, which will then take us to 88% capacity of the entire Shed.

     

    We will be doing a Facebook Live tomorrow at 7pm, and we hope to have one of our cornerstone tenants on there to tell you why they’ve decided to join us (and invest in us too).

     

    We're so excited about the opportunities this will create for our local community, our connections with local First Nations families, our relationships with outstanding, regenerative farmers and innovative food makers. Not to mention the fun events to come where we can make wonderful memories together. A fellow changemaker text us a few days back saying, "Just wanted to say I'm sending you both lots of love and support. Please know that no matter what happens tomorrow, SO much good has come out of your campaign and you've inspired so many people. Absolute legends - I feel so honoured just to know you. Xo".

    We’re extending our deadline to 30 September 2018

    We have until 30 September to confirm if we would like to buy the warehouse, and we’ve decided we need that extra nine days.

     

    Why?

    We have a few large investors that look likely to come across the line, but they’ve requested a bit more time. We also have a major tenant looking at taking up 450sqm in the empty part of the shed that we’re trying to confirm. This could improve our rental return in the near term, and was a question a few potential investors had.

     

    We’ve checked with ASIC, and they’ve confirmed we are able to extend our deadline as long as we give notice to you and our campaign doesn’t run longer than three months. Here’s your notice :)

     

    What does this mean

    • This means the campaign will now close on Sunday, 30 September at 8pm.

    • If we meet our goal of $2million by 30 September, you will need to pay for your investment. Once your identities have been verified, you will be provided payment details or your card will be charged. You will have ten working days to complete payment.

     

    We’ll keep you updated on anything else, and would love to see you at the Ballistic Beer Co drinks tonight.

     

    We’re so stoked you’ve brought us this far, and we’re hoping this vegetable-based revolution will succeed. Let us know if you have any thoughts on how we could activate our crowd even further.

    Three days (and three quarters) to go!

    Thank you so much for pledging to our campaign. We’re 25% funded from you wonderful people. Honestly can’t believe we’ve made it this far. Our community is bloody incredible 💚💚💚💚. My heart is so full of gratitude and I’m feeling so humbled by this month-long journey - I feel like we’ve succeeded on so many levels already! 

    But, in order to make the funds we need to buy the warehouse we have to hit the $2mil mark. 

    You’ve already pledged, which is really the highest form of support, but if you had time here are two more things you could do:

    We have less than two weeks to reach our $2 million equity crowdfunding target to buy the warehouse with our community. We’ve hit the 12% mark, but we need to hit our minimum goal for the pledges to be processed.

    First Open Day, Media, and Hugs

    Hi Pledgers (and followers),

     

    Every time someone pledges to this campaign, we want to hug them. Your support means so much to us. Every pledge counts towards our fairer food revolution. And, to those that have chosen to support to the maximum amount, we salute you.

     

    We had our first Open for Inspection last night and it was wonderful to connect with locals who wanted to check the space out first hand. We gave out copies of the Offer Document (over a shared a light beer) and encouraged visitors to write out why they think the Shed is a good idea.

     

    We’re doing a Facebook Live on Monday night at 7pm if you have any questions. Just follow our page on Facebook, and prepare some questions for Emma-Kate and Robert.

     

    It’s been hard fighting the coverage in Canberra to gain any media attention, but Bec Mac from 4ZZZ Radio had us on yesterday to talk about the campaign (start at 2:33:00), and we featured in the local newspaper, Southern Star on Thursday. The word is getting out!

     

    We’re aiming to get to the 10% mark by early next week, so if you haven’t pledged yet, we’d love your show of support. It’s so important to get the momentum going early in the campaign.

     

    Again, thank you to each and everyone of you for your support!  Don’t forget to come and visit us during our Open for Inspection sessions running all this weekend (3-5pm tonight, and 10am-12 tomorrow). We’d love to see you!

    For those of you that were at our launch party last night, a double thank you. We had such a great night with you all.

      How big is the entire building?

      Probably a silly question, but if you don't hit the target minimum investment amount, does that mean no dice? Will pledge amounts only be taken if the minimum target amount is reached?

      If the minimum subscription or more is achieved, the Food Connect Foundation and RoseyPekin Trust will together hold shares nominally worth over $330,000. What will those organisations provide in return for that benefit?

      Hi Daniel, Thanks for your question. When we started the new company, we had to value the existing business in terms of how the hub has been operating historically under the non-profit, Food Connect Foundation. This existing realisable value has been transferred as shares in the new entity. The value is in the existing tenants that have been brought under the new entity, and the management experience, systems and relationships developed over the last six years. This also includes $132,000 of cash contributions from the the Food Connect Foundation, which will be used on asset / plant improvements. The Food Connect Foundation will also provide the research partnerships to measure the social, environmental and economic performance of the Food Connect Shed.
      The RoseyPekin Trust is the family trust our lawyers advised to set up to transfer the value of the knowledge and experience that myself and Robert Pekin have personally contributed and continue to contribute to the value of the business, as well as the goodwill that has been generated to date. I hope that answers your questions. Please get in touch if you'd like to come to the warehouse for a tour.
